Corporate Governance, as accurately described by the Organization for Economic Co-operation and Development (OECD), is the system by which business corporations are directed and controlled. The corporate governance structure specifies the distribution of rights and responsibilities among different participants in the corporation, such as, the board of directors, managers, shareholders and other stakeholders; and spells out the rules and procedures for making decisions on its corporate affairs. Additionally, corporate governance provides the structure through which the company’s objectives are set, and the means for attaining those objectives and monitoring performance. Corporate Financial Solutions provides guidance to management, boards of directors and shareholders/ beneficiaries by scanning the Corporate Governance structure (or “Good Governance” for non-corporate organizations) and providing appropriate direction, tailored to the specific situation.
